Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer") and LocalBasics ("we", "us", "our"), operated by Synup Corporation, governing your access to and use of the LocalBasics website, application, and services (collectively, the "Service"). By creating an account, making a purchase, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of the Service

LocalBasics is a business listing management service that synchronizes your business information (name, address, phone number, hours, categories, description, and related details) across maps, directories, voice assistants, and other third-party publisher platforms ("Publishers"). We also provide Google Business Profile optimization tools to help you manage your Google listing attributes, reviews, menus, services, and specialized hours.

The Service is designed for single-location small and medium-sized businesses. Each purchase entitles you to listing management for one (1) business location.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion.

3. Payment and Lifetime Access

3.1 Lifetime Deal

LocalBasics is offered as a one-time payment for lifetime access (the "Lifetime Deal"). "Lifetime" means for the operational lifetime of the Service, that is, for as long as LocalBasics continues to operate and provide the listing synchronization service. Your license does not expire and there are no recurring fees.

All payments are processed securely by Stripe, Inc. We do not store your payment card details. Pricing varies by country and is displayed in your local currency at the time of purchase. The price you pay at checkout is the final price; there are no recurring charges, hidden fees, or per-publisher fees.

3.4 Refund Policy

All sales are final. No refunds will be issued under any circumstances. Because this is a one-time lifetime license (not a subscription), we do not offer refunds, partial refunds, or credits.

Upon payment, your business listing data is submitted to our publisher network for syndication. This submission incurs real, non-recoverable costs on our end as publishers begin processing your listing data. Because this process cannot be reversed once initiated, refunds are not available regardless of whether you continue to use the Service.

By completing your purchase, you expressly acknowledge and agree to this no-refund policy. We encourage you to review all information about the Service on our website before purchasing.

3.5 Immediate Service Delivery

You acknowledge and consent that service delivery begins immediately upon successful payment. Specifically:

3.6 Chargebacks and Payment Disputes

If you file a chargeback or payment dispute with your bank or payment provider after receiving the Service, you acknowledge the following:

We maintain records of your acceptance of these Terms (including IP address, timestamp, and browser information), payment authorization via 3D Secure, and confirmation of service delivery. These records may be submitted as evidence in any payment dispute proceeding.

3.7 Pricing Changes

We reserve the right to change pricing for new customers at any time. Price changes will not affect existing Lifetime Deal customers who have already completed their purchase.

4. Your Business Data

4.1 Ownership

You retain full ownership of all business information, content, and data you provide to the Service ("Business Data"). Nothing in these Terms transfers ownership of your Business Data to us.

4.2 License to Use

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, transmit, and display your Business Data solely for the purpose of providing the Service, specifically to synchronize and maintain your business listings across Publisher platforms. This license terminates when your account is deleted or the Service is discontinued.

4.3 Accuracy and Authority

The Service license is provisioned to a single business identity. A complete change of brand name or business name is not permitted under the same license. Nominal changes (such as removing a locality name) are permitted but may trigger re-verification on certain Publisher platforms. If you wish to use the Service for a different business, you must purchase a separate license.

4.5 Data Portability

You may request a copy of your Business Data at any time by contacting us. We will provide your data in a standard, machine-readable format within a reasonable timeframe.

7. Publisher Synchronization and Service Availability

7.1 Publisher Sync

We synchronize your Business Data with third-party Publishers on a commercially reasonable basis. You acknowledge and agree that:

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We are not liable for temporary interruptions due to maintenance, updates, or circumstances beyond our reasonable control.

7.3 Service Modifications

We reserve the right to modify, update, or enhance the Service at any time. We will not remove core functionality (listing synchronization) without providing reasonable notice to affected customers.

8. Intellectual Property

The Service, including its design, code, features, documentation, trademarks, logos, and all related intellectual property, is owned by LocalBasics (Synup Corporation) and protected by applicable intellectual property laws. Your license grants you the right to use the Service for its intended purpose. It does not grant you any ownership rights in the Service itself.

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCALBASICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE.

WE ARE NOT LIABLE FOR ANY ACTIONS, OMISSIONS, OR DECISIONS MADE BY THIRD-PARTY PUBLISHERS REGARDING YOUR BUSINESS LISTINGS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless LocalBasics and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; (d) inaccurate or misleading Business Data you provide; or (e) any claim by a third party arising from your business listings.

12. Business Transfers and Service Continuity

In the event that LocalBasics is acquired by, merged with, or substantially all of its assets are transferred to another company:

13.1 Termination by You

You may request account deletion at any time by contacting us. Upon deletion, we will cease synchronizing your Business Data and your account will be deleted within 30 days. Existing listings on Publisher platforms may persist as they are controlled by those platforms.

13.2 Termination by Us

We may suspend or terminate your account if you materially breach these Terms. Where possible, we will provide notice and an opportunity to cure before termination. In cases of egregious violations, we may terminate immediately without notice. Termination for cause does not entitle you to a refund.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. This choice of law does not deprive consumers in the European Union, United Kingdom, or other jurisdictions of the protection afforded by mandatory provisions of the law of their country of residence.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Class action waiver: To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
